These Terms of Use (“Terms”) set out the basis on which Visual Binary Ltd (company number 15852692), trading as TraderPay (“TraderPay”, “we”, “our”, or “us”), provides its services.

By using our website https://traderpay.io, our mobile app, or any services provided by us (together, the “Services”), you agree to these Terms. If you do not agree, you must not use our Services.

1. About Us

TraderPay provides services exclusively to business customers in the UK construction and trades industry. We do not provide services to consumers. All users warrant that they are acting in the course of a business when engaging with us.

2. Our Services

We currently offer three categories of Services:

1. Business Finance

   • We work with selected UK business finance partners to connect eligible trades businesses with potential finance solutions.

   • We are not a lender and do not provide financial advice. All lending decisions are made by our finance partners, who may have their own terms and conditions.

2. TraderPay Mobile App (Quoting Tool)

   • A mobile application to help tradespeople create professional quotes and manage job-related documents.

   • You are responsible for the accuracy of all information you enter, including pricing, customer details, and descriptions of work.

3. Business Admin Outsourcing

   • We provide access to remote assistants for business administration tasks, charged at an hourly rate.

   • Assistants act under your direction and you remain responsible for ensuring instructions and outputs meet your business needs.

3. Eligibility

• You must be a business customer operating in the construction or trades industry.

• By using our Services, you confirm that you are authorised to act on behalf of your business.

• By submitting a business finance application via our online form, you consent to us sharing your information with our partners, who may conduct credit, background & reference checks to assess your lending eligibility.

4. Fees and Payment

• Fees for our Services are set out on our website or agreed with you directly.

• Payment must be made in accordance with the terms provided at the time of purchase.

• For hourly outsourcing services, you will be billed based on the recorded time spent.

5. Responsibilities of Users

You agree that you will:

• Provide accurate, complete, and up-to-date information.

• Only use our Services for lawful business purposes.

• Not misuse or attempt to gain unauthorised access to our website, app, or systems.

• Be responsible for all content, data, and documents you create or upload through our Services.

6. Disclaimers

• Business Finance: TraderPay is not regulated by the Financial Conduct Authority (FCA). We act as an introducer only and do not guarantee that finance will be available to you. Any agreement you enter into with a finance provider is solely between you and that provider.

• Mobile App: We make reasonable efforts to ensure availability but do not guarantee uninterrupted access or that the app will be error-free.

• Outsourcing Services: While we aim to provide competent and reliable assistants, TraderPay accepts no liability for business outcomes or errors made under your instruction.

7. Limitation of Liability

• To the maximum extent permitted by law, TraderPay shall not be liable for any indirect, consequential, or special loss, including but not limited to loss of profits, contracts, goodwill, or data.

• Our total liability in respect of any claim arising under these Terms shall be limited to the amount you paid us for the relevant Service in the 3 months prior to the claim.

8. Intellectual Property

• All intellectual property rights in our website, app, and branding belong to TraderPay or our licensors.

• You may not copy, distribute, or use our content except as necessary to use the Services for your business.

9. Data Protection

• We process personal data in accordance with our Privacy Policy.

• By using our Services, you consent to such processing and warrant that all data provided is accurate.

10. Termination

• We may suspend or terminate your access to our Services if you breach these Terms.

• You may stop using our Services at any time.

11. Changes to These Terms

We may update these Terms from time to time. The latest version will always be published on our website. Continued use of our Services after changes are posted constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
